Terms of Service

Please read these Terms of Service ("Terms") carefully before using Clignite ("Service"). By creating an account, you agree to be bound by these Terms.
1. Account
You must be at least 18 years old to create an account. You're responsible for keeping your password secret and for all activity on your account. If you're using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. Subscription and billing
Paid plans are billed monthly in advance via Stripe. If payment fails, we'll retry a few times; if it keeps failing, we may suspend or downgrade your account. You can cancel at any time from Settings → Billing — you'll retain access until the end of the current billing period, then automatically drop to the Free plan. Refunds for unused time are at our discretion.
We may change pricing with 30 days' advance notice by email. Changes apply to your next renewal.
3. Acceptable use
You agree NOT to use the Service to:
- Send unsolicited bulk email (spam), SMS, or calls — you must comply with CAN-SPAM, TCPA, and equivalent laws in your jurisdiction
- Violate any law or infringe anyone's intellectual property, privacy, or publicity rights
- Upload malware, viruses, or other harmful content
- Scrape, reverse-engineer, or attempt to bypass Service rate limits and security
- Resell the Service as your own product unless you're on the SaaS Mode plan (which explicitly permits this)
- Run phishing, scams, or misleading / deceptive campaigns
- Share your account credentials — teammates must have their own user seats
Abuse may result in content removal, account suspension, or termination without refund. If your activity is illegal, we may report it to appropriate authorities.
4. Your data
You own all data you upload to or create in the Service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to operate the Service for you. We do not claim any intellectual-property rights in your Customer Data and we do not use it to train AI models.
You are responsible for making sure you have the right to upload Customer Data and for complying with laws that govern it (e.g., GDPR if you store data about EU residents, HIPAA if you store PHI — note: Clignite is not HIPAA-compliant, do not store PHI).
5. Service availability
We aim for 99.9% uptime but don't guarantee it unless you're on the SaaS Mode plan (where we provide a formal SLA). We may perform maintenance with reasonable notice. We may modify or discontinue features with reasonable notice.
6. Third-party integrations
The Service integrates with third-party services (Stripe, Anthropic, SendGrid, Twilio, Google, Yelp, and others). Your use of those services is governed by their own terms. We're not responsible for third-party outages, price changes, or policy changes that affect integrations.
7. Intellectual property
Clignite and all Service features are owned by us and protected by copyright, trademark, and other laws. Nothing in these Terms transfers any IP rights to you except the license to use the Service while your subscription is active.
8. Termination
You can delete your account at any time. We may suspend or terminate your account if you materially breach these Terms. On termination, your access ends and we'll delete your Customer Data per our Privacy Policy.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIGNITE AND ITS OFFICERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS CAPPED AT THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold us harmless from claims arising from your misuse of the Service, your Customer Data, or your violation of these Terms.
12. Governing law
These Terms are governed by the laws of the jurisdiction where Clignite is incorporated, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction.
13. Changes to Terms
We may update these Terms. We'll email active customers if we make material changes. Continued use of the Service after updates means you accept the new Terms.
